The dissipative system theory primarily studies the mechanics， conditions and sequences of the transformation of a system from chaos to organization， from low-organization to high organization， This paper focuses on the characteristics of the dissipative system and its relevance to and inspirations on corporate governance； it further posists that an active corporate management system must be an organized dissipative system that is open， non-linesr and beyond balance.
