    摘要:

    董事会断裂带以非正式子群体形式嵌入公司正式制度运作过程中,影响企业的战略决策和政策执行。本文利用中国沪深A股上市公司数据,研究了董事会断裂带对企业战略变革的影响。研究发现:董事会能力断裂带能促进企业战略变革,而董事会身份断裂带对企业战略变革不利。进一步研究发现:第一,董事经验深度和宽度通过强化组织实施战略变革的能力和资源基础,促进了董事会能力断裂带对企业战略变革的正向影响,减弱了身份断裂带对企业战略变革的负向影响;第二,董事会流动率能有效防止董事会内部能力子群体的利益结盟和身份子群体的冲突升级,促进董事会能力断裂带对企业战略变革的积极影响,削弱董事会身份断裂带对企业战略变革的消极影响;第三,外部宏观经济政策的不确定性促使子群体立场的扭转,由内部分歧转向一致对外,身份隔阂缓解,任务交互加强,促进了董事会断裂带对企业战略变革的正向效应,抑制了董事会身份断裂带对企业战略变革的负向效应;最后,相比较地方国有企业,央企董事会断裂带对企业战略变革不存在显著影响。本文的研究结论揭示了董事会断裂子群体作为公司隐秘治理主体对企业重大战略决策的双面治理效应,深化了对董事会结构与决策互动机制的理解,为进一步优化董事会人员配置提供了依据。

    Abstract:

    Embedded in the formal system of the company as an informal organization, factions of board influence the strategic decision and policy implementation. This paper uses the data of A-share listed companies in Shanghai and Shenzhen to study the influence of the board factions measured by faultline on the strategic change of enterprises. Our study found that the board ability faultline has a positive effect on the company strategic change, while the board identity faultline has a negative effect on the strategic change. Further research found that the depth and width of board experience promotes the positive influence of the board ability faultline and alleviates the negative influence of the board identity faultline, by strengthening the organization"s ability and resource base to implement strategic change. Second, the board turnover rate can effectively prevent the interest alliance of the board ability subgroups and the escalation of conflict among the board identity subgroups, and promote the positive influence of the board ability faultline and weaken the negative influence of the board identity faultline. Third, the uncertainty of economic policy promotes the positive influence of the board ability faultline and alleviates the negative influence of the board identity faultline, by prompting subgroups to reverse their positions, from internal differences to external unity, with identity gap alleviation and task interaction enhancement. Last, compared with local state-owned enterprises, the board faultline of central enterprises has no significant influence on the strategic change. The conclusion of our study reveals the double-sided governance effect of board faction to the major strategic decisions, deepens the understanding of the board structure and decision-making interaction mechanism, and provides evidence for optimizing the staffing of the board.Keywords:Factions of Board; Board Faultline; Strategic Change; Subgroup interaction.
